Affiliate Agreement

By signing up as an affiliate with SpeedPPC, you agree to the following Terms of Service.

This agreement is between SpeedPPC (”us” or “we”) and you, the affiliate.

You understand that SpeedPPC is a product created for experienced marketers. It is suitable for promotion by experienced affiliates.

We do not guarantee or predict how much money you may earn by promoting SpeedPPC.

You agree to hold SpeedPPC harmless from and against any and all losses, claims, expenses, suits, damages, costs, demands or liabilities, joint or several, of whatever kind or nature which SpeedPPC and/or their assigns may become subject arising out of or relating in any way to the use of the services provided under this agreement, including, without limitation, in each case attorneys’ fees, costs and expenses actually incurred in defending against or enforcing any such losses, claims, expenses, suits, damages or liabilities.

All affiliates must have a PayPal account.

You may NOT register as an affiliate under your own affiliate link. Any such transactions will be reversed.

Promotional techniques. You ARE allowed to use the keyword “SpeedPPC” and similar keywords in AdWords and other pay- per-click advertising. You may also use such keywords in your search engine optimization methods. Examples of other acceptable ways to promote SpeedPPC are: banners, product reviews, text links, and letters of recommendation to your newsletter subscribers or your clients.

You ARE allowed to register domain names similar to “SpeedPPC.com” and domains containing the word “SpeedPPC”.

Rebates: Affiliates are NOT permitted to offer a rebate on sales.

Bonuses: We encourage you to offer bonuses. Any affiliates who promise bonuses to customers who purchase our product through their affiliate link must make those bonuses available within 7 days of the purchase, in the case of downloadable bonuses, and 14 days in the case of a physical bonus.

Graphics: You ARE allowed to use any graphics from SpeedPPC.com website in your promotions.

You are NOT permitted to copy large sections of the SpeedPPC.com website, except where you have been given specific permission in writing. You agree that promoting the product in your own words is likely to be more effective.

You will be solely responsible for the development, operation and maintenance of your website and for all content that appears on your site. It is your responsibility to ensure that your affiliate links are set up properly and working.

Tracking: While we will endeavor to provide extremely accurate affiliate tracking, no affiliate tracking is 100% accurate.

Commissions: We agree to pay you certain commissions as described on our website for referral sales and for second- tier sales. Commissions owed will be paid after 60 days.

Refunds: If a customer is given a refund, the referral fee will be deducted from commissions owed to the affiliate.

Commissions will normally be made in U.S. dollars, via PayPal. We are prepared to make exceptions for super affiliates.

Taxes: The affiliate is responsible for all taxes and other similar levies applicable to the commission pursuant to any law or regulation. The affiliate shall report the commissions earned to his/her taxation authorities as required by law.

Predatory advertising: You agree not to use any predatory advertising methods in the promotion of SpeedPPC. Predatory advertising is any method that creates or changes links or banners on websites without the permission of the site’s owner.

Contact details: You agree to provide SpeedPPC with a working email address (NOT an autoresponder email address), your physical address and phone number. You agree to receive emails from SpeedPPC, such as training materials, commission notifications and so on.

Termination: We may terminate your account:

(a) if you violate our Terms of Service Policy; (b) promote SpeedPPC in a manner that is unethical or inappropriate; or (c) for any reason, in our sole discretion.

Prohibited sites: Prohibited sites for promoting SpeedPPC include: Sites that promote sexually explicit material or violence; sites that are warez, crack, or spam oriented; sites that promote discrimination based on race, sex, religion, national origin, or physical disability; and sites that promote any illegal activities.

Devious tactics: An affiliate shall not receive a commission for a purchase made, directly or indirectly (for example, via an intermediary for the purpose of collecting a commission), by him/herself.

SpeedPPC has the right to stop selling the product at any time.

No Warranties: WE MAKE NO WARRANTIES TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICE SPEEDPPC, ITS SUBCONTRACTORS AND AFFILIATES PROVIDE YOU. WE EXPRESSLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THIS SERVICE FOR A PARTICULAR PURPOSE. We shall not be liable for any damages suffered by you, whether indirect, special, incidental, exemplary, or consequential, including, by not limited to, loss of data or service interruptions, regardless of cause or fault. We are not responsible for your lost profits or for your loss of data or information.

Website interruption: We will make every effort to keep our website operational. However, certain technical difficulties may arise from time to time. You agree not to hold SpeedPPC liable for any of the consequences of such interruptions.

You agree: (1) to use our system in a manner that is ethical and in conformity with community standards; (2) to respect the privacy of other users (you shall not intentionally seek data or passwords belonging to other users, nor will you modify files or represent yourself as another user unless explicitly authorized to do so by that user); (3) to respect the legal protection provided by copyright law, trade secret law, or other laws protecting intellectual property.

You agree not to disparage SpeedPPC, the website, the products or the people involved, or do anything to harm the reputation of SpeedPPC. You agree not to misrepresent SpeedPPC. Disparagement or misrepresentation may result in the immediate termination of your affiliate account and the cancellation of any pending commissions.

If we learn of a violation or likely violation of our TERMS OF SERVICE, we will attempt to notify you. If you do not take immediate remedial action which is satisfactory to us, or in the event of a serious violation of the TERMS OF SERVICE, we reserve the right to terminate your account immediately.

SPAM: YOUR ACCOUNT WILL BE TERMINATED IMMEDIATELY AND WITHOUT WARNING SHOULD YOU PROMOTE SPEEDPPC VIA ANY UNSOLICITED EMAIL. You may also be subject to fines and legal actions as a result of your email promotion.

All forms of spam are strictly forbidden including but not limited to unsolicited email, IRC postings, forums, chat groups, newsgroups, and/or instant messaging.

When posting a message about SpeedPPC on any website, you must always obey the rules of that website. If you do not, we regard your actions as spam. For example, most forums do not allow affiliate links to be included in posts.

Any affiliates caught using any form of spam to promote SpeedPPC will forfeit all pending commissions.

Assignment: This agreement is personal to you. You may not assign your rights under this agreement without our prior written consent. We may assign this agreement at any time.

Independent contractor: The affiliate is an independent contractor, and is NOT an employee, agent, partner, legal representative, or franchisee of SpeedPPC. The affiliate must never mislead anyone about this.

Change of Terms and Conditions: We reserve the right to change the terms and conditions of this agreement as needed. If you do not agree to the new terms and conditions, you may terminate this agreement, via email or in writing.

General Provisions: The subject headings of the articles and sections are for convenience only, and shall not affect the construction or interpretation of any of its provisions. If any portion of this agreement is found invalid or unenforceable, that portion shall be severed and the remainder of this agreement shall remain in force. This agreement constitutes the entire agreement between us pertaining to its subject matter and supersedes all of our prior agreements, representations, and understandings. If an organization is the affiliate, the individual applying represents that he or she is duly authorized to enter into this agreement on behalf of that organization.

Suspicious Activity: All our sales will be monitored for suspicious activity. We won’t tolerate fraudulent sales made through our links to “earn” fraudulent commissions. If suspicious activity is detected, we shall withhold the commissions of the affiliate pending further investigation. Determination of fraudulent activity is at the sole discretion of SpeedPPC. Any affiliate deemed to have attempted fraudulent activity will be removed from the affiliate program.

Arbitration: In the event of a dispute, the parties agree to submit the matter to arbitration in Queensland, Australia, before beginning litigation.

Governing law: The sole and exclusive venue for any legal action arising under this affiliate agreement will be the state and federal courts for Queensland, Australia.

If you are an Australian affiliate, by joining this affiliate program you agree to the separate terms you can view here. By agreeing to this agreement, you also are agreeing to the aforementioned Australian affiliate agreement.
